Agreement on Software License and Service of Tencent Weixin

Introduction

Welcome to Tencent Weixin software and services!

In order to use Tencent Weixin software (hereinafter referred to as the "Software") and services, you should read and abide by the Agreement on Software License and Service of Tencent Weixin (hereinafter referred to as the "Agreement") and the Tencent Service Agreement. Please be sure to read carefully and fully understand the content of the various terms, especially the terms of exemption and limitation of liability, as well as the separate agreement for opening or using a service, and decide whether to accept or not. Restrictions and disclaimers may be highlighted in bold or other forms to remind users.

Unless you have read and accepted all terms in this Agreement, you may not download, install or use the Software and its related services. By downloading, installing, using, acquiring a Weixin account, logging in, or taking similar actions, you shall be deemed to have read the Agreement and agreed to be bound by its terms.

If you are under 18 years of age, please read the Agreement and the other aforementioned agreements in the company of your legal guardian, and pay special attention to the terms of use for minors. Specifically, if you are under 14 years of age, your legal guardian should carefully read the Children's Privacy Protection Statement before you complete the account registration. Children under 14 years of age may only use Weixin Service after obtaining a guardian's consent to the Children's Privacy Protection Statement.

I. Scope of the agreement

1.1 Parties to the Agreement

This agreement is made between you and Tencent regarding your downloading, installing, using and copying of the Software, and your use of Tencent's related services.

1.2 Agreements' Relationship and Conflicting Terms

This Agreement shall be regarded as a supplementary agreement to the Tencent Service Agreement and forms an integral part of it, constituting a unified whole. In the event of any conflict between the Agreement and the Tencent Service Agreement, this Agreement shall prevail.

This Agreement also includes any relevant agreements, business rules and other content related to Weixin service that Tencent may publish from time to time. Once officially released, such content shall constitute an integral part of this Agreement, with which you shall also comply.

II. Services

2.1 Content of the Service

The Service refers to the cross-platform communication tool (hereinafter referred to as "Weixin") provided by Tencent to users, which supports single-person and multi-person participation and, by building upon instant messaging services such as sending voice messages, videos, pictures, emojis and text, provides users with software licenses and services for functions or content including but not limited to social network expansion, convenient tools, Weixin Official Accounts, Weixin Open Platform, and information exchange with other software or hardware (hereinafter referred to as the "Service").

2.2 Service Forms

2.2.1 You need to download the Tencent Weixin client software to use the Service. Tencent grants you a personal, non-transferable and non-exclusive license for the Software. Versions like Weixin for Web, Weixin for Windows, Weixin for Mac, Weixin for Car, Weixin for Watch require QR code scanning for login. You may only use the aforementioned software and services for the purpose of accessing or using the Service.

2.2.2 Tencent may provide multiple versions of the Weixin client software, including but not limited to iOS, Android, Windows Phone, Symbian, BlackBerry, Windows, Mac, Linux and HarmonyOS. Users are required to select the software version matching the installed terminal device.

2.3 Scope of Authorized Services

2.3.1 Tencent grants you a personal, non-transferable and non-exclusive license to use the Software. You may install, use, display and run the Software for non-commercial purposes on a single terminal device.

2.3.2 You may make a copy of the Software for the purpose of personal use of the Software and the Service, and shall only use the copy as a backup. The copy must contain all the copyright information from the original Software.

2.3.3 All other rights not expressly granted by this article and other terms of this Agreement are reserved by Tencent. You must obtain Tencent's written permission to exercising such rights. Tencent's failure to exercise any of the foregoing rights does not constitute a waiver of such rights.

III. Acquisition of the Software

3.1 You may obtain the Software directly from Tencent's website or a third party authorized by Tencent.

3.2 If you obtain the Software or any installation program bearing the same name as the Software from any unauthorized third party, Tencent does not guarantee such software's proper functionality, and shall not be liable for any losses or damages incurred as a result.

IV. Installation and Uninstallation of the Software

4.1 Tencent may develop different versions of the Software for different devices. You should download the appropriate version for installation according to your specific device.

4.2 After downloading the installation program, you need to follow the steps prompted by the program for proper installation.

4.3 In order to provide better and more secure services, Tencent may recommend installing other software during the installation of the Software, and you may choose whether or not to install the recommended software.

4.4 If you no longer need to use the Software or wish to install a newer version, you may uninstall the Software yourself. Please note that upon uninstallation, all chat history stored on the user's terminal device will be deleted and will not be recoverable, even after reinstallation of the Software. If you are willing to help Tencent improve its product and services, please provide the reason(s) for uninstallation.

V. Software Updates

5.1 In order to improve the user experience and service content, Tencent will continuously strive to develop new services and provide you with software updates from time to time (these updates may take the form of software replacement, modifications, feature enhancements, version upgrades, etc.).

5.2 In order to ensure the security and functional consistency of the Software and the Service, Tencent reserves the right to update the Software, or to modify or restrict certain features or functionality of the Software without notice.

5.3 After a new version of the Software is released, older versions of the Software may become unusable. Tencent does not guarantee the continued availability of the older versions of the Software or their corresponding customer services. Please check for and download the latest version promptly.

VI. Protection of Users' Personal Information

6.1 It is a fundamental principle of Tencent to protect users' personal information. Tencent will take reasonable measures to protect such information. Except as required by applicable laws and regulations, Tencent will not disclose users' personal information to any third party without their consent. Tencent adopts professional encryption methods for the storage and transmission of such information to ensure the security of users' personal information.

6.2 You are required to provide certain necessary information when registering an account or using the Service. For example, to provide you with account registration service or perform user identification, you are required to provide your mobile number; the "People Nearby" feature requires your consent to use your geographic location information; and the mobile contacts matching feature requires your authorization to access your mobile contacts. Where special provisions are made by applicable laws and regulations, or policies of the People's Republic of China, you need to provide real identity information. If the information you provide is incomplete, you may not be able to use the Service or your use may be restricted.

6.3 In general, you may browse and modify your submitted information at any time. However, for security and identity verification purposes (such as the Weixin account appeal service), you may not be able to modify the initial registration information and other verification information provided during registration. If you register a new Weixin account with the assistance of an existing Weixin account, Tencent will consider the mobile number verified during the registration process of the new Weixin account as its initial mobile number.

6.4 Tencent will implement various security technologies and procedures to establish a sound management system to protect your personal information from unauthorized access, use or disclosure.

6.5 Tencent attaches great importance to the protection of personal information of minors. If you are a minor under 18 years of age, you need to obtain written consent of your parent or legal guardian before using Tencent's services.

6.6 For further details on how Weixin collects, uses, stores, and protects your personal information, as well as your rights, you may also refer to the Weixin Privacy Protection Guidelines.

VII. Main Rights and Obligations

7.1 Account Usage Standards

7.1.1 Before using the Service, you are required to register a Weixin account. A Weixin account can be registered via a mobile number, which will be linked to the account. Alternatively, you may register a new Weixin account with the assistance of an existing Weixin account. After successful registration, you may also link a QQ account and an email address to your Weixin account. If you wish to link an email address, please use one that is not already linked to the Weixin Official Accounts Platform. You may change the linked phone number within the scope permitted by the platform's rules. Tencent reserves the right to specify the preconditions for registering a new Weixin account with the assistance of an existing Weixin account, as well as to limit the number of accounts you can register with the same identity.

Tencent reserves the right to change the methods for account registration and for linking accounts based on user needs or product requirements. Regardless of the registration method set out in this Agreement that you use to register your Weixin account, you shall comply with the specific rules for using your account, including the QQ ID Rules, Standards of Weixin Account Usage, relevant account usage agreements, and any special rules published by Tencent for this purpose.

7.1.2 Ownership of all Weixin accounts belongs to Tencent. After completing the registration process, the user obtains only the right to use the Weixin account, and this right belongs exclusively to the initial registrant. In addition, the initial registrant shall not give, lend, rent, lease, transfer, or sell the Weixin account, nor permit any party other than the initial registrant to use it. Any party other than the initial registrant shall not use a Weixin account by way of gift, inheritance, rental, assignment or any other means.

7.1.3 Users are responsible for the proper safekeeping of their registered account information and password. Users shall bear legal responsibility for any actions taken under their registered account and password. Users agree not to disclose their account and password information to any other party under any circumstances. If you suspect unauthorized use of your account, you should immediately notify Tencent.

7.1.4 When you register a Weixin account with a mobile phone number, the system will automatically assign a Weixin ID for you. You may set your Weixin ID, and you may also modify it based on the instructions on the relevant feature pages, provided that the corresponding conditions are met.

7.1.5 When you use a specific service or feature of the client software, you may be required to create or register a new account (a feature account) using your Weixin account by following the instructions provided. Unless otherwise specified or authorized by Tencent in writing, Tencent shall retain ownership of such feature account. The user who creates or registers the feature account (theinitial registrant) shall have only the right to use the account, and this right belongs exclusively to the initial registrant. The initial registrant shall not give, lend, rent, lease, transfer, or sell the account, nor otherwise permit any party other than the initial registrant to use it. Any party other than the initial registrant shall not use the feature account by way of gift, inheritance, rental, transfer, purchase, or any other means.

7.1.6 If a user does not log in to their Weixin account or feature account for a prolonged period after registration or creation, Tencent reserves the right to reclaim the account to prevent resource waste. The user shall bear full responsibility for any losses incurred as a result.

7.2 User Notes

7.2.1 You acknowledge and agree that, to provide you with effective services, the Software will utilize your device's processor, bandwidth, and other resources. Using the Software may incur data traffic charges. You are solely responsible for consulting your service provider for relevant fee information and for bearing all associated costs.

7.2.2 You acknowledge and agree that certain features of the Software may make some of your information visible to third parties. For example, your Weixin friends may view your publicly available personal information, such as your Weixin profile photo, alias, Weixin ID, or posts in Moments, as well as your publicly disclosed information in Channels, including your profile photo, alias, bio, published content, and interaction details. If you register a Weixin account using a mobile phone number or link your Weixin account to a mobile phone number, account may be discoverable by friends whose contact lists include that number. When you follow certain types of Official Accounts or Service Accounts, their operators may, based on their features and your authorization, access your profile photo, alias, message comments, images, videos, and other information, and may interact with you by sending messages via the Weixin Official Accounts Platform. Your message comments, images, and videos uploaded to relevant Official Accounts or Service Accounts may be published within those accounts by operators with corresponding features and your authorization, making them accessible to third parties. If you choose to enable information exchange between Weixin and other software or hardware, the providers of that software or hardware may access information you actively disclose or transmit on Weixin. You should fully understand the product features and data protection policies of such other software or hardware before making this choice.

7.2.3 When you use a specific service of this Software, that service may be subject to separate agreements, relevant business rules and/or other similar documents (hereinafter collectively referred to as the "Separate Agreements"). Please read and agree to the relevant Separate Agreements before using such service. Your use of the aforementioned specific services will be deemed as your acceptance of the relevant Separate Agreements. For example, if you need to use Weixin Pay-related services (including but not limited to Balance, Weixin Red Packets, transfers, card payments, and making or receiving payments), you shall read and comply with the Weixin Pay User Service Agreement. If you need to use Channels services (including but not limited to browsing, liking, commenting, forwarding, sharing, or creating/registering a channel), you shall read and comply with the Weixin Channels Operation Standards.

7.2.4 You acknowledge and agree that Tencent will make commercially reasonable efforts to ensure the security of your data stored on its servers during your use of the Software and the Service, but Tencent does not provide an absolute guarantee of data security, including but not limited to the following circumstances:

7.2.4.1 Tencent is not liable for any deletion of, or failure to store, your data related to the Software and the Service;

7.2.4.2 Tencent reserves the right, at its sole discretion and based on operational needs, to determine the maximum data retention period for each user's data related to the Software and the Service, as well as to allocate the maximum data storage space to such data. You may back up relevant data from the Software and the Service as needed;

7.2.4.3 If you cease using the Software and the Service, or if the Service is terminated or canceled, Tencent may permanently delete your data from its servers. After the Service is discontinued, terminated or canceled, Tencent has no obligation to return any data to you.

7.2.5 When using the Software and the Service, the user shall bear the following risks that are beyond Tencent's reasonable control, including but not limited to:

7.2.5.1 Risks such as loss or leakage of personal information due to force majeure events;

7.2.5.2 Any problems or damages arising from the user's failure to select the Software version that matches their terminal device;

7.2.5.3 Risks arising from third-party websites and their content that the user accesses using the Software;

7.2.5.4 Risks or liabilities caused by others forwarding or sharing content published by the user;

7.2.5.5 Risks such as data reception failure or data loss caused by insufficient storage space, malfunctions, or other issues with the user's terminal device;

7.2.5.6 Risks such as Weixin login failures, incomplete data synchronization, or slow page loading caused by unstable wireless network signals, low wireless network bandwidth or other similar issues;

7.2.5.7 You acknowledge and agree that during your account registration or use of the Service, if Tencent detects that your account may be involved in fraudulent activities or other irregularities or risks, Tencent reserves the right to re-verify your account in accordance with applicable laws and regulations. Based on its risk assessment, Tencent may take corrective measures, including but not limited to: rectification within a specified time limit, functional restrictions, suspension of use, account closure, prohibition of re-registration, and other measures stipulated in this Agreement. In the course of providing the Service, if Tencent detects clues or risk information related to fraudulent, illegal or criminal activities, Tencent reserves the right, in accordance with relevant laws and regulations, and based on the nature and severity of the detected fraud risks, to transfer such information to competent authorities (including public security, financial, telecommunications, and cyberspace administrations). When using the Service, you must properly safeguard your personal account and password and must not illegally sell, rent, lease or lend your personal account.

7.2.5.8 You acknowledge and agree that the Service may be interrupted due to force majeure or other risk factors during the use of the Service. Force majeure refers to unforeseeable, insurmountable and unavoidable objective events that have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, storms and epidemics, as well as social events such as wars, riots and government actions.

7.3 Third-Party Products and Services

7.3.1 When you use products or services provided by a third party through the Software, you shall comply with the third party's user agreement in addition to this Agreement. Tencent and the third party shall each bear their respective liabilities for any potential disputes within the scope prescribed by laws and/or stipulated in their respective agreements.

7.3.2 When the user uses the Software or requires Tencent to provide any specific service, the Software may support the user's use or access by invoking a third-party system or through a third party. In such cases, the results of such use or access are provided by the third party (including but not limited to third-party services provided through Weixin Official Accounts or content accessed through the Weixin Open Platform). Tencent does not guarantee the security, accuracy, validity or other unforeseen risks of the services and content provided by such third parties and assumes no liability for any disputes or damages arising therefrom.

7.3.3 Third-party service providers may offer you products or services through the Software. For example, you may follow Official Accounts or Service Accounts registered by third parties, accept products and services offered by third parties via Mini Programs, or log in to and use other Internet services through Weixin authorized login capability. In such a process, the third-party service provider may access, collect, use and store your relevant personal data or information, depending on the service you use. Through relevant agreements signed with third-party service providers, Weixin's platform rules, and reasonable product process design, Tencent strictly requires all third-party service providers to comply with applicable laws and regulations when acquiring any of your data, and to obtain your explicit prior consent, to take necessary data protection measures, to use your data reasonably and solely for the purpose of the product and service, to provide you with means to modify or delete your data, and to delete all of your data upon service termination, so as to protect your data and privacy to the greatest extent possible. You should fully understand the third party's entity information as well as the terms and policies of their products or services before you accept or use them. If you find any violation of a third-party service provider, you may file a complaint to Tencent, and Tencent will investigate the matter and handle it accordingly.

7.3.4 You acknowledge and agree that Tencent has the right to use the Software for commercial purposes, including but not limited to developing and using parts of the Software's services for third-party promotions. Tencent promises to protect your personal information in strict accordance with the Agreement during such promotions. You may also choose to block or refuse to receive relevant promotional information through the system settings.

VIII. User Code of Conduct

8.1 User Content Standards

8.1.1 User content in this Article refers to any content created, copied, published or transmitted by users while using the Software and the Service, including but not limited to, registration information such as profile photos, aliases, user descriptions and bios of Weixin accounts or feature accounts; messages users send, such as text, voice, images, videos, and emojis; content posted in Moments, Time Capsule, Channels and their related link pages; and any other content generated through the use of a Weixin account, feature account, or the Software and the Service.

8.1.2 You acknowledge and agree that Weixin is committed to providing users with a civilized, healthy, standardized and orderly network environment. You must not use a Weixin account, feature account or the Software and the Service to create, copy, publish, or disseminate content that interferes with normal operation of Weixin or infringes upon the legitimate rights and interests of other users or third parties, including but not limited to the following:

8.1.2.1 Publishing, transmitting, disseminating, or storing content that violates the laws and regulations of the People's Republic of China, namely:

(1) Opposing the basic principles established by the Constitution;

(2) Endangering national security, divulging state secrets, subverting state power, and undermining national unity;

(3) Harming national honor and interests;

(4) Distorting, vilifying, desecrating or denying the deeds and spirit of heroic martyrs, or insulting, defaming, or otherwise infringing upon their names, portraits, reputations or honors;

(5) Promoting terrorism or extremism, or inciting terrorist or extremist activities;

(6) Inciting ethnic hatred or discrimination, or undermining ethnic unity;

(7) Undermining national religious policies, or promoting cults or feudal superstitions;

(8) Spreading misinformation, disturbing social order, or undermining social stability;

(9) Disseminating obscenity, pornography, gambling, violence or terror, or abetting crime;

(10) Insulting or defaming others, or infringing upon their reputations, privacy, or legitimate rights and interests;

(11) Using exaggerated headlines that are severely inconsistent with the content;

(12) Hyping rumors, scandals, or misconduct;

(13) Making improper comments on natural disasters, major accidents or other calamities;

(14) Containing sexual innuendo, sexual provocation or other content likely to evoke sexual association;

(15) Displaying gore, gruesome content, cruelty, or other content liable to cause physical or psychological discomfort;

(16) Inciting discrimination against groups, regions, etc.;

(17) Promoting vulgar, kitsch, or morally degrading material;

(18) Likely to induce minors to imitate unsafe acts, violate social ethics, or develop harmful habits, among others;

(19) Infringing upon minors' legitimate rights and interests, or harming their physical or mental health;

(20) Adversely affecting the cyber-ecosystem;

(21) Inciting illegal assembly, association, procession, demonstration or gatherings that disrupt the social order;

(22) Conducting activities in the name of any illegal civil organization;

(23) Not in compliance with the Interim Provisions on the Administration of the Development of Public Information Services of Instant Messaging Tools and the requirements of "seven bottom lines", including adherence to laws and regulations, the socialist system, national interests, citizens' legitimate interests, public order, social morality and information authenticity;

(24) Any other content prohibited by the laws and administrative regulations.

8.1.2.2 Publishing, transmitting, disseminating, or storing content that infringes upon other's reputation rights, portrait rights, intellectual property rights, trade secrets, or other legitimate rights;

8.1.2.3 Involving others' privacy, personal information, or data;

8.1.2.4 Publishing, transmitting or disseminating harassing content, advertisements, excessive marketing messages, spam, or any content containing sexual content or sexual connotation;

8.1.2.5 Any other information that violates laws, regulations, policies, public order, or social morals, or that interferes with the normal operation of Weixin or infringes upon the legitimate rights and interests of other users or third parties.

8.2 Software Usage Standards

8.2.1 Unless permitted by law or with Tencent's prior written permission, you must not engage in any of the following acts while using the Software:

8.2.1.1 Removing copyright information from the Software and its copies;

8.2.1.2 Performing reverse engineering, reverse assembly, reverse compilation on the Software or otherwise attempting to discover the source code of the Software;

8.2.1.3 Using, renting, leasing, lending, copying, modifying, linking, reproducing, compiling, releasing, publishing, or creating mirror sites for any content to which Tencent owns intellectual property rights;

8.2.1.4 Copying, modifying, adding, deleting, mounting for operation, or creating any derivative works of data released into any terminal's memory by the Software or during its operation, data transmitted between client and server during the Software's operation, or system data necessary for the Software's operation, including but not limited to using plug-ins, add-ons or third-party tools/services not authorized by Tencent to access the Software and its related systems;

8.2.1.5 Adding, removing, or altering functions or operating effects of the Software by modifying or forging its instructions or data, or operating or disseminating software or methods used for the above purposes to the public, regardless of whether such acts are for commercial purposes;

8.2.1.6 Logging into or using the Software and the Service, or performing automated operations, through any third-party software, plug-in, add-on or system that are not developed or authorized by Tencent, or creating, publishing or disseminating such tools or methods;

8.2.1.7 Either by yourself or by authorizing others or third-party software or systems, controlling, accessing, retrieving, or interfering with the Software and its components, modules and data, or circumventing or disrupting any security measures or other technical protective measures built into the Software;

8.2.1.8 Other acts not expressly authorized by Tencent.

8.2.2 You acknowledge and agree that, based on a comprehensive assessment of factors such as user experience, operational security of Weixin or its related service platforms, platform rules, and healthy development, Tencent has the right to determine who receives the Services, to configure service features and settings, and to define who may access and the extent of available features, data interfaces, and related data disclosures. Tencent reserves the right, based on specific circumstances, to suspend or terminate the Service in the following situations, including but not limited to:

8.2.2.1 Violation of laws and regulations or the provisions of this Agreement;

8.2.2.2 Affecting the service experience of Weixin;

8.2.2.3 Causing any potential security risks;

8.2.2.4 Being similar or identical to, or achieving the primary effects of, the main functions or functional components of Weixin or its service platform;

8.2.2.5 Having an interface, style, function, description or user experience that is similar to that of Weixin or its service platform, which may mislead users into believing that the function or service they use are provided or authorized by Tencent;

8.2.2.6 Other behaviors that contravene the operating principles of Weixin or its service platform, or failing to comply with other management requirements of Tencent.

8.3 Service Operation Standards

Unless permitted by law or with Tencent's prior written permission, you must not engage in the following acts while using the Service:

8.3.1 Submitting or publishing false information, or impersonating or using the name of others;

8.3.2 Inducing or misleading other users to click on the link pages or share information;

8.3.3 Fabricating facts or concealing the truth to mislead or deceive others;

8.3.4 Infringing upon the legitimate rights of others including reputation rights, portrait rights, intellectual property rights, and trade secrets;

8.3.5 Using any Weixin account, feature account, any Weixin function, or any third-party operating platform, for promotional or cross-promotional activities without Tencent's written permission;

8.3.6 Utilizing any Weixin account, feature account or the Software and the Service to engage in any illegal or criminal activities;

8.3.7 Creating or publishing the methods or tools related to the aforementioned acts, or operating or disseminating such methods or tools, regardless of whether for commercial purposes;

8.3.8 Other acts that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of the Software and the Service, or are not expressly authorized by Tencent.

In order to better protect legitimate rights and interests of users and provide a better user experience, Tencent has formulated the Standards of Weixin Account Usage (hereinafter referred to as the "Standards"), which constitutes an integral part of this Agreement. Please read and comply with it carefully. To provide users with a green, secure, healthy, and convenient cyber environment, Tencent reserves the right to modify the Standards when necessary. Any amendments thereto shall automatically form an integral part of this Agreement upon publication, and you shall also comply with them. The prevailing version of the Standards can be accessed through the official website of the Software.

8.4 Responsible for Your Own Acts

You fully understand and agree that you are solely responsible for all actions taken under your registered account, including any content, comments, likes, recommendations, and other actions you post, as well as any consequences arising therefrom. You shall make your own judgment on the content in the Service and bear all risks arising from using it, including risks from your reliance on the content's correctness, completeness or usefulness. Tencent cannot and will not be liable for any loss or damage caused by the aforementioned risks.

8.5 Handling of Breaches

8.5.1 If Tencent finds or receives a report or complaint from others about a user's violation of this Agreement, Tencent reserves the right to remove or block the relevant content at any time without notice and, depending on the severity of the violation, impose penalties on the accounts associated with the violating user, including but not limited to warnings, restricting or prohibiting the use of some or all functions, suspending, banning, or reclaiming the account, and may announce the action taken.

8.5.2 You acknowledge and agree that Tencent reserves the right, based on its reasonable judgement, to penalize any conduct that violates applicable laws and regulations or the provisions of this Agreement; to take appropriate legal action against any user who violates laws and regulations; and, in accordance with related laws and regulations, to preserve relevant information and report it to the competent authorities, and to cooperate with investigations. The user shall be solely responsible for all resulting legal liabilities.

8.5.3 You acknowledge and agree that if you breach this Agreement or the relevant service terms, you shall be solely liable for any claim, demand or loss raised by a third party arising from or in connection with such breach. If Tencent incurs any loss as a result, you shall also indemnify Tencent accordingly.

IX. Statement on Intellectual Property Rights

9.1 Tencent owns all intellectual property rights in the Software. All copyrights, trademark rights, patent rights, trade secrets and any other intellectual property rights in the Software, as well as all information content related to the Software (including but not limited to text, images, audio, video, graphics, interface designs, layout frameworks, relevant data, or electronic documents) are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Tencent enjoys the aforementioned intellectual property rights, except for rights that belong to relevant right-holders in accordance with the law.

9.2 Without the prior written consent of Tencent or the relevant right-holders, you must not, nor permit any third party to, implement, use, or transfer any of the aforementioned intellectual property rights for any commercial or non-commercial purpose.

9.3 Uploading or publishing content while using the Software and the Service does not transfer any intellectual property rights, portrait rights or other rights in such content. However, you acknowledge and agree that, to achieve the purposes of the Software and the Service, Tencent may, within the scope permitted by law, use specific public, non-confidential content you publish (such as video published via Time Capsule, selfie emojis, and Channels content), including but not limited to storing it, playing it to relevant users, and making it accessible and reusable by relevant users.

X. Terminal Security Responsibility

10.1 You acknowledge and agree that the Software, like most Internet software, may be affected by a variety of factors, including but not limited to user-related reasons, network service quality, and the social environment. It may also be interfered by various security problems, including but not limited to the illegal use of user information by others for real-world harassment. Other software you download and install or sites you visit may contain viruses, Trojans or other malicious programs, which could jeopardize the security of information and data in your terminal device, thereby affecting the normal use of the Software. Therefore, you should enhance your awareness of information security and personal information protection, and take care to protect your password to avoid losses.

10.2 You must not create, publish, use, or disseminate any malicious programs designed to steal Weixin accounts, feature accounts, or others' personal information or property.

10.3 Maintaining the security and normal use of the Software is the joint responsibility of Tencent and you. Tencent will reasonably and prudently take necessary technical measures in accordance with industry standards to protect the information and data security of your terminal device. However, you acknowledge and agree that Tencent cannot provide an absolute guarantee in this regard.

10.4 Under no circumstances should you readily trust money borrowing requests, password requests, or other network information related to property. When engaging in property-related operations, please make sure to verify other party's identity first, and please regularly pay attention to Tencent's tips for preventing fraudulent crimes.

XI. Third-Party Software or Technology

11.1 The Software may use third-party software or technology (including open-source code and public domain code that may be used in the Software, collectively referred to hereafter), and such use has been legally authorized.

11.2 If any third-party software or technology is adopted for the Software, Tencent will display the relevant agreements or other documents in accordance with relevant laws, regulations, and agreements, via annexes of this Agreement, files packaged in a specific folder within the Software's installation package, or open source software pages , or other means. These documents may be referred to as "Software License Agreement", "License Agreement", "Open-Source License", or other forms. The aforementioned agreements, other documents and web pages, presented in their various forms, are an integral part of this Agreement and shall have the same legal effect as this Agreement. You shall comply with all these requirements. If you fail to comply, the third party or a competent state authority may file a lawsuit, impose a fine or take other sanctions against you, and may require Tencent's assistance. You shall bear all legal liability arising therefrom.

11.3 Any disputes arising from the third party's software or technology used in the Software shall be resolved by that third party, and Tencent shall not bear any liability. Tencent does not provide customer service support for third-party software or technology. If you need support, please contact the third party.

XII. Miscellaneous

12.1 By using the Software, you shall be deemed to have read this Agreement and agreed to be bound by its terms. Tencent reserves the right to amend the terms of this agreement when necessary and will notify you of the amendments in an appropriate manner so that you can stay informed of the latest version. You can review the prevailing version of this Agreement within the Software under "Me" > "Settings" > "About" or on the official website. If you continue to use the Software after the terms of this Agreement are amended, you shall be deemed to have accepted the amended agreement. If you do not accept the amended agreement, you should stop using the software.

12.2 This Agreement is signed in Nanshan District, Shenzhen, Guangdong Province, People's Republic of China.

12.3 The establishment, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be governed by the laws of the Mainland of the People's Republic of China (excluding its conflict of laws principles).

12.4 If any dispute or controversy arises between you and Tencent, it shall first be resolved through amicable negotiation; if such negotiation fails, you agree to submit the dispute or controversy to the people's court with jurisdiction in the place where this Agreement is signed.

12.5 The headings of all terms of this Agreement are for ease of reference only, have no actual meaning in themselves, and shall not be used as a basis for interpreting the meaning of this Agreement.

12.6 This Agreement may be drafted in different languages, including Chinese, English and others. In case of any inconsistency or discrepancy between the Chinese version and the versions of other languages, the Chinese version shall prevail.

12.7 If any provision of this Agreement is found to be invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.
